These Terms of Use (the “Terms”) govern your access to and use of the website(s), applications, minting platforms, blockchain integrations, and other services offered by Clever Era, LLC, DBA Adult Fantasy (“Adult Fantasy,” “we,” “our,” or “us”), including any content, features, and functionalities (collectively, the “Site”).

By accessing or using the Site, connecting a digital wallet, purchasing or interacting with any Adult Fantasy digital collectibles, or otherwise engaging with our content or services, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

3. Eligibility

You may use the Site only if:

• You are at least 13 years old;
• If you are under 18, you have parental or legal guardian consent; and
• You are legally able to form a binding contract under applicable law.

Certain purchases (including digital collectibles or other blockchain assets) may require you to be 18+ due to jurisdictional restrictions.

4. Digital Collectibles and Blockchain Risks

a. No Guarantee of Value – Adult Fantasy digital collectibles are intended for personal enjoyment and engagement with our universe. They are not investments and may have no monetary value.

b. Market Volatility – Prices of blockchain assets are volatile. You assume all risk of loss related to value fluctuation.

c. Blockchain & Smart Contract Risks – Transactions occur on public blockchain networks (currently Ethereum, possibly others in the future). We cannot control the operation of any blockchain or guarantee its availability, security, or performance.

d. Wallet Security – You are solely responsible for securing your wallet, private keys, and seed phrases. If you lose access, we cannot recover it.

e. Transaction Finality – All blockchain transactions are final and irreversible.

f. Legal Compliance – You are responsible for understanding and complying with local laws regarding digital collectibles, digital assets, and blockchain technology.

5. Wallet Connection & Third-Party Services

When you connect a crypto wallet (e.g., MetaMask) you agree:

• We do not store or have access to your private keys.
• You authorize transactions from your connected wallet when interacting with the Site.
• We are not responsible for losses from unauthorized access, phishing, or user error.
• Wallet integrations and blockchain interactions are provided “as is” and may rely on third-party APIs or services.

6. Intellectual Property & License to You

All Adult Fantasy content — including but not limited to characters, storylines, dialogue, artwork, designs, animations, videos, music, trademarks, and logos — is owned by Clever Era, LLC or its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes, subject to these Terms.

If you purchase an official Adult Fantasy digital collectible, you also receive the rights described in Appendix A – Digital Collectible Holder Rights and License at the end of these Terms. All other rights are reserved.

7. User-Generated Content & License to Us

If you voluntarily submit any content to Adult Fantasy — including artwork, character concepts, stories, videos, or other materials (“User Content”) — you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, display, and create derivative works from such User Content for any purpose, in any media, without compensation to you.

You represent that you have all rights necessary to grant this license.

8. Entertainment Purposes Only

All Adult Fantasy content is fictional in nature and created solely for entertainment purposes.

• Any resemblance to real persons, events, or entities — living or dead — is purely coincidental.
• Our content includes satire, parody, and exaggerated fictional scenarios, and should never be interpreted as factual statements.
• Nothing on the Site or in our content should be taken as factual, professional, financial, or other real-world advice.

9. Prohibited Conduct

You agree not to:

• Violate any applicable law or regulation;
• Use the Site to defraud or harm others;
• Interfere with Site operations or security;
• Reverse-engineer, decompile, or tamper with any part of the Site;
• Use bots or automated systems except as explicitly allowed;
• Infringe our or others’ IP rights.

10. No Financial or Investment Advice

Adult Fantasy does not provide investment, financial, or trading advice.

• Digital collectibles and other digital assets involve significant risk, including total loss.
• You should consult qualified financial and legal advisors before making any purchase decisions.

11. Termination

We may suspend or terminate your access at any time, for any reason, without notice.

12. Disclaimers

The Site, digital collectibles, and all related services are provided “as is” without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, consequential, or punitive damages.
• Our total liability will not exceed $100.

14. Dispute Resolution; Arbitration; Class Action Waiver

• Mandatory Arbitration – Any dispute will be resolved by binding arbitration under the American Arbitration Association’s Consumer Arbitration Rules.
• Class Action Waiver – You agree to resolve disputes only on an individual basis, not as part of a class or representative action.
• This section survives termination of these Terms.

15. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles.

16. Changes to These Terms

We may modify these Terms at any time. Changes are effective upon posting to the Site. Continued use after posting constitutes acceptance.

Appendix A – Digital Collectible Holder Rights and License

Preamble – A Pact Between Creator and Collector

In the sprawling universe of Adult Fantasy, each character, artifact, and world is a living story. When you hold an Adult Fantasy digital collectible, you hold the right to tell part of that story — your way. This license is our pact: your freedom to create, and our promise to protect the integrity of the realm we build together.

1. Ownership of the Digital Collectible

When you purchase an Adult Fantasy digital collectible, you own the underlying token recorded on the applicable blockchain. Ownership of the token does not confer ownership of the intellectual property in the associated artwork, character, or other Adult Fantasy content.

All intellectual property in and to the Adult Fantasy universe, including all characters, stories, art, designs, trademarks, and other content (“AF Content”), is owned by Clever Era, LLC or its licensors, except for the limited license expressly granted in these Terms.

2. License Rights Granted to Holders

If you own the official Adult Fantasy character token, you are granted a limited, non-exclusive, worldwide, royalty-free license to:

1. Personal Use: Display your collectible for personal, non-commercial purposes, including on social media, in virtual worlds, or in physical prints for personal enjoyment.
2. Non-Commercial Fan Works: Anyone (holder or not) may create non-commercial fan art, fiction, or other works inspired by Adult Fantasy. These works cannot be sold, licensed, or otherwise monetized.
3. Small to Medium Business Use: Make and sell merchandise (shirts, mugs, comics, etc.) featuring that Adult Fantasy character, royalty-free, so long as gross annual revenue from such uses does not exceed $1 million USD/year.
4. Big Business Use: If revenue from commercial use of your collectible’s art exceeds $1 million/year, a 20% royalty applies to the amount above that threshold.

You may not use any Adult Fantasy character for commercial purposes unless you own the corresponding official Adult Fantasy character token and are acting within the scope of this license.

3. Derivative Works

If you own the official Adult Fantasy character token, you may create derivative works based on the specific Adult Fantasy character featured in your Collectible Artwork for commercial purposes, subject to the following conditions:

• All uses must comply with applicable law and may not include hateful, defamatory, or unlawful content;
• You may not represent your derivative works as “official” Adult Fantasy products or as endorsed by Clever Era, LLC;
• Where reasonably possible, attribution to “Adult Fantasy” must be provided.

If you do not own the official Adult Fantasy character token, you may create non-commercial fan works inspired by the Adult Fantasy universe, but you may not sell, license, or otherwise monetize such works without express written permission from Clever Era, LLC.

Summary: Commercial use requires ownership of the corresponding Adult Fantasy character token; non-commercial fan creation is open to all.

4. Community Storytelling

Adult Fantasy encourages contributions of original stories, art, and concepts to the Adult Fantasy Lore Archive (name subject to change).

• You retain ownership of your original contributions.
• By submitting content, you grant Clever Era, LLC a perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, and integrate your contribution into comics, animations, merchandise, and other media, whether commercial or non-commercial.
• Some contributions may be designated as “canon” at the sole discretion of Clever Era, LLC.
• Adult Fantasy may, at its discretion, offer royalties or other compensation for certain uses; however, the granting of this license does not obligate Adult Fantasy to do so.

For any commercial exploitation of an Adult Fantasy character within your contribution, you must own the corresponding official Adult Fantasy character token and follow the commercial use rules in Section 2.

5. Reservation of Rights

Clever Era, LLC retains all intellectual property and proprietary rights in and to AF Content. You do not own any AF Content or the underlying artwork of your digital collectible.

Your rights are limited solely to the license granted in Section 2 for the Collectible Artwork visually associated with your token. No rights are granted to any elements of the Collectible Artwork that are not perceptible in the version associated with your token.

All other rights are reserved, including:

• The “Adult Fantasy” name, logos, and trademarks;
• Any claim of affiliation, sponsorship, or endorsement without written permission;
• The creation, minting, or distribution of new digital collectibles or tokenized assets from the Collectible Artwork;
• Commercial use of any Adult Fantasy character unless you own the corresponding token and comply with Section 2.

6. Transfer of License

If you sell, trade, or otherwise transfer your digital collectible, all rights granted to you in these Terms automatically transfer to the new owner, and your rights immediately terminate.

7. Compliance with Law

Your use of the Collectible Artwork must comply with all applicable laws and regulations. You are solely responsible for your activities and any resulting consequences.

8. Termination

Failure to comply with these terms will result in immediate termination of your license. Upon termination, you must cease all use of the Collectible Artwork for commercial or derivative purposes.
